1. Definitions

• "Service" means any consulting engagement, assessment, or advisory service provided by Mekong Logic.
• "Agreement" means these Terms & Conditions together with any engagement letter or service proposal accepted by the Client.
• "Client" / "You" means the organization or individual engaging Mekong Logic for Services.
• "We" / "Us" / "Our" means Mekong Logic Co., Ltd., registered in Thailand.
• "Deliverables" means reports, documentation, configurations, and training materials produced during an engagement.

2. Acceptance of Terms

By submitting an enquiry through our website, signing an engagement letter, or making payment for our Services, you confirm that you have read and agree to these Terms & Conditions.

You must be at least 18 years of age and have the legal authority to enter into agreements on behalf of the organization you represent.

These Terms govern all engagements unless a separate written agreement has been signed by both parties, in which case that agreement takes precedence.

3. Service Description

Mekong Logic provides AI integration and strategic consulting services for businesses, including data infrastructure assessments, HR AI implementation, and strategic advisory engagements. Full descriptions of current service offerings are available on our website.

Services are delivered primarily in English, in person or remotely, to clients located in Thailand and the ASEAN region. We reserve the right to decline engagements where scope falls outside our areas of competence.

4. User Responsibilities

As a client or website user, you agree to:

• Provide accurate and complete information when submitting enquiries or engaging our Services
• Make relevant data, systems access, and personnel available as required for the agreed scope of work
• Not misrepresent your organization or the context in which our recommendations will be applied
• Use Deliverables only for lawful internal business purposes
• Not redistribute, resell, or publish Deliverables without our prior written consent
• Not use our website in any way that violates applicable laws or disrupts its operation

5. Intellectual Property

All methodologies, frameworks, templates, and proprietary tools used in delivering our Services remain the intellectual property of Mekong Logic. You receive a non-exclusive, non-transferable license to use Deliverables produced specifically for your engagement within your organization.

You retain ownership of all pre-existing data, documents, and materials you provide to us. By sharing these materials, you grant us a limited license to use them solely for the purposes of your engagement.

6. Payment Terms

All Services are priced in Thai Baht (THB) as set out in the engagement proposal. Unless otherwise agreed:

• A deposit of 50% of the engagement fee is due before work commences
• The remaining 50% is due upon delivery of final Deliverables
• Payment is accepted by bank transfer to our designated Thai bank account
• Invoices are payable within 14 days of issue
• Late payments may incur interest at 1.5% per month on the outstanding balance

Refunds: If you withdraw from an engagement after work has commenced, any deposit paid is non-refundable. Where work has not yet begun, a full refund of the deposit will be issued within 14 working days.

7. Service Delivery Terms

Timelines stated in our engagement proposals are estimates based on assumed client availability and responsiveness. Delays caused by late provision of required information or access may result in adjusted timelines, for which we will provide written notice.

We will notify you of any material changes to scope or timeline as soon as they become apparent. Scope changes that increase the agreed workload require a written amendment to the engagement letter.

All recommendations provided are based on information available at the time of the engagement and reflect our professional judgment. We do not accept liability for decisions made by the Client based on our Deliverables.

8. Disclaimers

Our Services are provided on a professional best-efforts basis. We make no representations regarding specific business outcomes, revenue improvements, cost savings, or competitive advantages that may result from following our recommendations.

Our website and its content are provided "as is." We do not warrant that the website will be continuously available, error-free, or free from technical issues.

9. Limitation of Liability

To the maximum extent permitted by Thai law, our aggregate liability for any claim arising from an engagement shall not exceed the total fees paid by you for that engagement.

We shall not be liable for indirect, consequential, or incidental losses, loss of profits, loss of data, or business interruption arising from your use of our Services or Deliverables, even if we have been advised of the possibility of such losses.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during an engagement. This obligation survives termination of the engagement by two years. Exceptions apply where disclosure is required by law or where information was already in the public domain.

11. Termination

Either party may terminate an engagement by providing 14 days' written notice. Upon termination:

• The Client is responsible for fees covering work completed to the date of termination
• We will provide Deliverables completed to that point
• Confidentiality and intellectual property obligations survive termination

12. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith discussion. If unresolved within 30 days, either party may escalate to formal mediation through the Thai Arbitration Institute.

These Terms are governed by the laws of the Kingdom of Thailand. The courts of Khon Kaen Province shall have jurisdiction over any legal proceedings.

13. General Provisions

• Entire Agreement: These Terms, together with any signed engagement letter, constitute the entire agreement between parties.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that right in the future.
• Assignment: You may not assign rights or obligations under this agreement without our written consent.

14. Changes to These Terms

We may revise these Terms from time to time. Updated Terms will be published on our website with a revised "Last Updated" date. Continued use of our Services after the effective date of any revision constitutes acceptance of the updated Terms.
